1. Agreement and Acceptance

These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between the individual or legal entity (“you”, “user”, “member”, “subscriber”, “buyer”) and Repair-Bay LLC (“Repair-Bay”, “we”, “us”, “our”) governing your access to and use of the website located at https://repair-bay.com and all related services, software, digital content, subscription access, downloads, and associated platforms (collectively, the “Services”). By accessing, registering for, purchasing from, downloading from, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy and DMCA / Copyright Policy, which are incorporated by reference into this Agreement. If you do not agree to these Terms, you must not access or use the Services. Continued use of the Services after any modification of these Terms constitutes acceptance of the revised Terms.

2. Definitions

For purposes of this Agreement, “Account” means a registered user profile created for access to the Services. “Manual” or “Content” means any digital document, manual, data sheet, diagram, or file made available through the Services. “Member” or “Subscriber” means a user who has purchased a recurring membership plan that grants an allowance of downloads from the catalog. “Buyer” means a user who purchases an individual Manual on a one-time basis. “Download” means the transfer, saving, caching, copying, printing, exporting, or offline retrieval of any Content, regardless of file format or method. “Access” means the ability to view, stream, load, preview, or otherwise interact with Content through the Services, whether or not a download occurs. “Catalog” means the collective repository of Manuals offered through the Services. “Licence” means the limited, non-exclusive, non-transferable right to use Content as described in Section 7.

3. Eligibility and Legal Capacity

You represent and warrant that you are at least eighteen (18) years of age, have full legal capacity to enter into binding contracts, and are not prohibited from using the Services under applicable law. If you register or use the Services on behalf of a business or other legal entity, you represent that you are authorized to bind such entity to this Agreement. The Services are not intended for minors, automated agents, web scrapers, bots, or any non-human access systems.

4. Account Registration and Security

To access certain portions of the Services, including subscription-based features and your download library, you must create an Account and provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your Account, whether authorized or not. You agree to notify us immediately of any unauthorized access or security breach. Repair-Bay reserves the right to suspend, lock, or terminate any Account suspected of being compromised, shared, sold, accessed by multiple individuals, or used for purposes inconsistent with this Agreement.

5. Description of Services

Repair-Bay sells workshop, service and repair manuals in digital (PDF) format from our own curated Catalog. Manuals are available as one-time individual purchases or through a membership subscription that grants a recurring allowance of downloads. We provide the documentation in our own Catalog and are not a marketplace for third-party sellers. We do not guarantee that any Manual is free from errors, omissions, or defects, and Content is provided for reference as described in Section 16.

7. Digital Content Licence and Access Rights

Manuals are licensed, not sold, to you. Subject to full compliance with this Agreement, Repair-Bay grants you a limited, revocable, non-exclusive, non-transferable, personal licence to access and download Content for your own lawful personal and professional repair use.

No ownership, copyright interest, resale rights, redistribution rights, sub-licensing rights, or public-display rights are granted under any circumstance. You may not resell, redistribute, share, publicly post, or sub-license any Content or your Account credentials. Any redistribution or sharing of Content constitutes copyright infringement and a material breach of this Agreement.

8. Delivery and Fulfillment

Manuals are delivered digitally. Immediately after a successful purchase or claim, you receive instant access to a placeholder document confirming your order, and the item appears in My Account → My Manuals with a “Preparing” status. Your live download link typically appears in your Account within 5–15 minutes, and we email you when it is ready. See How Downloading Works for full details.

9. Changes to Services and Content Availability

Repair-Bay reserves the right to modify, suspend, restrict, replace, remove, or discontinue any part of the Services, including the Catalog, individual Manuals, subscription features, or pricing structure, at any time and without prior notice. You acknowledge that access to specific Manuals is not guaranteed and may be withdrawn for legal, operational, technical, copyright, or commercial reasons. Such changes do not entitle any user to refunds, credits, or compensation except as expressly provided in our Refund & Cancellation Policy.

10. Payments, Billing, and Chargebacks

All fees for purchases, memberships, renewals, and overage charges are due at the time of the transaction and are processed through Stripe, our third-party payment processor. By submitting payment information, you authorize recurring billing until cancellation and agree that Repair-Bay may charge your designated payment method automatically at each renewal interval and for any overage you incur. All fees are stated in United States Dollars unless otherwise specified. Subscription and overage fees are non-refundable except as set out in our Refund Policy or where required by law. You agree not to initiate any bank dispute, payment reversal, or chargeback on the basis of dissatisfaction with Content, download limitations, or cancellation of membership without first contacting us. Any attempted chargeback on a legitimate charge constitutes a material breach of this Agreement, and Repair-Bay reserves the right to suspend the Account, pursue collection of the unpaid balance, and submit the debt to third-party recovery services.

11. Refund Policy and Final-Sale Trigger

Because our products are digital and delivered on demand, all sales are final once delivery of a Manual has occurred or membership access has been granted, except as set out in our Refund & Cancellation Policy or as required by law. Delivery is deemed to occur the moment a download link or placeholder document is made available to your Account, regardless of whether you actually download the file. This provision survives cancellation, termination, and expiration of membership.

12. Fair Use, Download Limits, and Anti-Abuse Enforcement

Access to the Catalog is licensed solely for individual personal and professional use and may not be shared, duplicated, redistributed, automated, scripted, scraped, or extracted through bulk or programmatic methods. Repair-Bay may impose technical download limits, bandwidth caps, access throttling, device restrictions, IP restrictions, or security-based blocks at its sole discretion. Any pattern of mass downloading, account sharing, archival reselling behavior, or non-human automated access shall be treated as abuse and grounds for immediate suspension or termination without refund. Repair-Bay reserves the right to audit download activity and Account behavior at any time.

13. Intellectual Property and DMCA

We respect intellectual property rights and respond to valid notices under our DMCA / Copyright Policy. All manufacturer names, logos, model numbers and trademarks are the property of their respective owners and are used here for identification and reference only. Repair-Bay is an independent provider of digital reference documentation and is not affiliated with, authorized by, or endorsed by any vehicle or equipment manufacturer. If you believe any Content infringes your copyright, please submit a notice to our Designated Agent at [email protected] as described in our DMCA Policy. Repeat infringement may result in permanent Account termination.

14. Prohibited Conduct

You may not use the Services in any manner that violates applicable law, infringes intellectual property rights, interferes with platform functionality, or circumvents access controls. Prohibited conduct includes, without limitation, unauthorized copying, scraping, bypassing paywalls, public redistribution, resale, reverse engineering, data extraction, circumvention of device or download limits, impersonation, fraudulent identity or payment activity, uploading malware, or attempting to access the Services through automated agents, bots, scripts, or non-human processes. Any violation of this section constitutes a material breach of this Agreement and may result in permanent Account termination, legal action, and reporting to law enforcement where applicable.

15. Enforcement and Remedies

Repair-Bay may, at its sole discretion, suspend, disable, restrict, or terminate any Account or access method, with or without notice, for any violation of this Agreement or where activity is deemed unlawful, abusive, deceptive, or harmful to the integrity of the Services. Termination does not relieve the user of past or outstanding payment obligations. No refunds, credits, or compensation will be issued upon enforcement actions taken for breach of this Agreement.

16. Disclaimer of Warranties

The Services, the Catalog, all Content, and all related software, features, downloads, and access rights are provided on an “as is”, “as available”, and “with all faults” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Repair-Bay expressly disclaims all warranties of accuracy, completeness, non-infringement, merchantability, fitness for a particular purpose, reliability, or availability. Repair and maintenance work carries inherent risk; always follow proper safety procedures and manufacturer guidance. Repair-Bay does not warrant that the Services will be uninterrupted, error-free, or secure, or that any Manual will remain accessible for any duration of time.

17. Limitation of Liability

To the fullest extent permitted by law, in no event shall Repair-Bay, its officers, directors, members, employees, agents, contractors, successors, or affiliates be liable for any indirect, incidental, punitive, exemplary, special, or consequential damages, including without limitation loss of revenue, loss of data, loss of business, loss of profits, or claims arising from reliance on defective or inaccurate Content. In no event shall the aggregate liability of Repair-Bay exceed the total amounts paid by you for the Services during the twelve (12) month period preceding the event giving rise to the claim. You acknowledge that this limitation of liability is a fundamental basis of the agreement between the parties.

18. Binding Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to this Agreement, the Services, the Content, payment obligations, access rights, or the relationship between the parties (except DMCA procedures) shall be resolved exclusively and finally by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New Castle County, Delaware, USA, and shall be conducted in English before a single arbitrator. The parties agree that the Federal Arbitration Act (9 U.S.C. §1 et seq.) governs this clause and that the arbitrator, not a court, shall have exclusive authority to resolve any dispute relating to enforceability, scope, or interpretation of this Agreement.

19. Class Action Waiver and Jury Waiver

To the fullest extent permitted by law, you agree that arbitration shall be conducted solely on an individual basis and not as a class, collective, consolidated, or representative action. You expressly waive the right to participate in or initiate any class action, mass action, private attorney general action, or collective proceeding against Repair-Bay. You further waive any right to a jury trial in any forum.

20. Termination

Repair-Bay may terminate or suspend your Account or access to the Services at any time, with or without notice, for any breach of this Agreement, suspected fraud, unlawful activity, security threat, failure to pay fees, or conduct inconsistent with the intended operation of the platform. Upon termination, all licences granted to you shall automatically cease, and you shall immediately discontinue all access, use, and reproduction of Content. No refunds will be issued upon termination for breach of this Agreement.

21. Governing Law

This Agreement shall be governed solely by the laws of the State of Delaware, without regard to conflict-of-law principles. The Federal Arbitration Act governs the arbitration clause. Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and the parties irrevocably consent to personal jurisdiction and venue in such courts.

22. Assignment

You may not assign, transfer, sub-license, pledge, delegate, or otherwise convey any rights or obligations under this Agreement without prior written consent from Repair-Bay. Repair-Bay may assign this Agreement in whole or in part, including in connection with a merger, acquisition, sale, reorganization, or other transfer of assets or control, without notice.

23. Severability

If any provision of this Agreement is determined to be invalid, unenforceable, or unlawful, the remaining provisions shall remain in full force and effect. Any invalid term shall be replaced with a valid provision that most closely reflects the intent of the original clause.

24. Waiver

No waiver of any provision or breach of this Agreement shall be deemed a continuing waiver or a waiver of any other provision unless expressly stated in a written instrument signed by Repair-Bay. Failure to enforce any right shall not constitute a waiver of such right.

25. Survival

Any provision that, by its nature, is intended to survive termination of this Agreement shall do so, including but not limited to: payment obligations, refund limitations, warranty disclaimers, limitations of liability, intellectual property protections, the arbitration agreement, class action waiver, and governing law provisions.

26. Entire Agreement

This Agreement constitutes the complete and exclusive agreement between the parties relating to the use of the Services and supersedes all prior or contemporaneous oral or written agreements, offers, representations, or understandings. No modification of this Agreement shall be valid unless posted by Repair-Bay in updated form or agreed in writing.

27. Promotions, Giveaways, and Sweepstakes

Repair-Bay may, from time to time, operate promotional giveaways, sweepstakes, contests, or similar prize-based events (“Promotions”). Participation in any Promotion is subject to these Terms, the specific rules published for each Promotion, and all applicable laws. Unless otherwise stated, eligibility may be limited to users with an active, paid membership or a qualifying purchase at the time of entry and at the time of prize award. Repair-Bay reserves the sole right to determine winner eligibility, methods of entry, prize substitution, modification, cancellation, or termination of any Promotion. Winners will be notified using the account email associated with their Account and must respond within the time specified in the Promotion rules or the prize may be forfeited. Prizes are non-transferable and non-exchangeable, and may not be redeemed for cash unless required by law. Promotions are not sponsored, endorsed, administered, or associated with any third-party platform, including but not limited to Meta, Instagram, Google, or YouTube.
